Terms and Conditions

These terms explain how you can use Simple Comments, how licenses and billing work, and what we are each responsible for.
01About these terms
These terms are an agreement between you and Glyph Company (“Glyph”, “we”, “us”), registered in the Netherlands with the Chamber of Commerce (KVK) under number 78263042.
They apply to the Simple Comments visual for Power BI, the website and dashboard at powerbi.glyph.company, and the service that stores and serves comments (together, “the Service”).
By creating an account, activating a trial, buying a license, or using the visual, you accept these terms. If you accept them for an organization, you confirm that you are authorized to do so, and “you” means that organization.
02The Service
Simple Comments is a custom visual for Microsoft Power BI. It works like a table visual and adds editable columns. What people write in those columns is saved to our service and linked to a license key, so everyone who opens a report with that key sees the same values.
Power BI and Microsoft AppSource are Microsoft products. Your use of them is governed by Microsoft’s own terms. Glyph is not affiliated with Microsoft.
03Your account
- ·You need an account to get and manage license keys. Give accurate information and keep it up to date.
- ·Keep your password secure. You are responsible for everything done with your account.
- ·Tell us right away at contact@glyph.company if you think someone has accessed your account without permission.
- ·The Service is intended for business use. You must be at least 18 years old to create an account.
04Licenses
Each license key gives you a non-exclusive, non-transferable right to use the visual and the comments service for as long as the license is active, within the limits of its plan.
- ·Trial: 60 days with every Premium feature. One trial per account. No payment details are needed.
- ·Pro: one comment column, up to 10 users, and up to 10,000 comments per month.
- ·Premium: up to five comment columns, up to 100 users, and up to 100,000 comments per month.
- ·Enterprise: custom limits, on-premise hosting, and other terms agreed with us in writing. Where an Enterprise agreement differs from these terms, the Enterprise agreement applies.
“Users” means the people who view or edit reports that use a license key. If you regularly go over your plan’s limits, we will contact you to agree on a plan that fits. We may limit use that goes far beyond a plan’s limits.
You may use your licenses in reports you build for your own clients, as long as you remain the license holder and are responsible for how they are used. You may not resell, rent out, or sublicense license keys on their own.
05Keeping license keys safe
A license key is what connects a report to its comments. Anyone who has the key can read and write that key’s comments, and the key is saved inside every report that uses it.
Treat license keys like passwords. Only share them with people who should have access, and don’t publish them. You are responsible for activity under your license keys.
06Prices and payment
- ·Prices are shown on our website in euros. Pro costs €120 and Premium costs €600 per license per year.
- ·Paid licenses are billed yearly in advance. Payments and invoices are handled by our payment provider, Stripe.
- ·VAT is charged where the law requires it. Business customers in the EU with a valid VAT number are invoiced under the reverse-charge rule.
- ·All licenses on an account renew on the same date. A license added during a billing period is charged for the remaining part of that period only. Upgrading from Pro to Premium is charged straight away for the difference over the remaining period.
- ·We may change our prices. We will tell you at least 30 days before a change affects you, and the new price applies from your next renewal.
07Renewal, downgrades, and cancellation
- ·Paid licenses renew automatically every year until you cancel them.
- ·You can cancel a license from the dashboard at any time. It stays active until the end of the period you already paid for, then expires.
- ·Downgrading from Premium to Pro takes effect at your next renewal. Until then, the license keeps its Premium features.
- ·Payments already made are not refunded for the unused part of a period, unless the law requires it.
- ·If you are a consumer in the EU, you can withdraw from a purchase within 14 days. Because the license starts immediately at your request, you pay for the part of the period you have already used.
08Failed payments
If a renewal payment fails, the license keeps working for 30 days while the payment is retried. During this time the visual shows a payment overdue warning. If the payment is still not made after 30 days, the license expires.
09When a license expires
When a license expires, the visual stops loading and saving comments for that key. The comments themselves are kept. You can renew the license from the dashboard to get access back, or export or delete the comments.
10Acceptable use
You agree not to:
- ·use the Service for anything unlawful, or to store content that is unlawful, harmful, or infringes someone else’s rights
- ·store passwords, payment card details, or special categories of personal data, such as health data, in comments
- ·try to access comments, accounts, or license keys that are not yours
- ·get around license checks or plan limits, or share license keys publicly
- ·reverse engineer, copy, or modify the visual, except where the law allows it
- ·overload, disrupt, or test the security of the Service without our written permission
11Your content
You own the comments you and your users write. You give us permission to store, process, and transmit them only to provide the Service to you.
You are responsible for what is written in comments and for having the right to store it, including any personal data about other people. For that data, you are the controller and we process it on your behalf, as described in our privacy policy.
The Service is not a backup system. Use the export on the dashboard to keep your own copy of important comments.
12Our intellectual property
The visual, the website, the dashboard, and the software behind them belong to Glyph. These terms give you the right to use them under your licenses, and no other rights.
If you send us ideas or feature requests, we may use them freely, without any obligation to you.
13Availability and changes
We work to keep the Service available and reliable, but we can’t guarantee it will always be available or free of errors. It depends on the internet, Power BI, and third-party providers. Unless an Enterprise agreement says otherwise, we don’t offer a guaranteed uptime.
We may improve, change, or remove features. If we remove a major paid feature, we will tell you in advance.
14Suspension and termination
You can delete your account at any time from the Account page. Deleting your account cancels your subscription right away, so you won’t be charged again, and any unpaid invoices are cancelled. It also permanently removes your licenses and their comments. Payments already made for the current period are not refunded.
We may suspend or end your access if you seriously breach these terms, don’t pay, or put the Service or other customers at risk. Where reasonable, we will warn you first and give you time to fix the problem and export your comments.
15Disclaimer
The Service is provided “as is”. Comments are shared notes, not a secure system of record. They are not end-to-end encrypted, and they can disappear from view if the Context fields of a report change, as explained in our FAQ.
16Limitation of liability
As far as the law allows, our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months before the event that caused the claim.
We are not liable for indirect or consequential damage, such as lost profits, lost revenue, or lost or corrupted data.
These limits don’t apply to damage caused by our intent or gross negligence, or to any liability that can’t be limited by law.
17Changes to these terms
We may update these terms. The latest version is always on this page, with its effective date. If we make an important change, we will email you at least 30 days before it takes effect. If you keep using the Service after that, you accept the new terms. If you don’t agree, you can cancel before the change takes effect.
18Governing law
These terms are governed by Dutch law. Disputes go to the competent court in the Netherlands. If you are a consumer, you keep any protection that the law of your country gives you and that can’t be excluded.
